Cooperation agreement Between
THE UNIVERSITA' DEGLI STUDI DI ANCONA, FACOLTA' DI SCIENZE (UDSAFS), Italy, represented by its Rector Prof. Marco Pacetti, who is an official representative of the UDAFS and is authorised to sign this Co-operation Agreement (CA),

And
ISRAEL OCEANOGRAPHIC & LIMNOLOGICAL RESEARCH (IOLR), Israel, represented by its Director General, Dr. Yuval Cohen, who is the official representative of the IOLR and is authorised to sign this CA.

UDSAFS and IOLR agree on the following:

The objective of this CA is to establish the grounds for scientific co-operation between the UDSAFS and the National Center for Mariculture of IOLR.
The two institutes will seek for opportunities for co-operation in research and educational programs.
Each institute will nominate a co-ordinator who will help develop the co-operation in research and educational programs.
Both institutes shall endeavour to obtain the necessary financial support from international and national agencies to carry out this co-operative program.
The lecturers, students and researchers taking part in any program under this CA should abide with this CA.
Both institutes agree to make available their human and physical resources whenever possible and agreed upon. Travelling, accommodation expenses end expendables shall be covered by the visiting party. However, effort will be made by both institutes to look for alternative national and international financial sources to cover these expenses.
Rights to intellectual property will be as set forth in the Annex, which is an integral part of this CA.
This CA shall enter into force upon signature by both UDSAFS and IOLR and shall remain in force for five years. It may be modified or extended by mutual agreement and may at any time be terminated by either institute by written notice to the other institute. Agreed changes in the CA will enter into force after six months without affecting the conditions of the CA preceding the date of agreement on changes.
This CA exist in two signed originals, one kept at the UDSAFS and one at IOLR.

Annex One
For the purpose of this CA Intellectual Property shall mean individually and collectively all inventions, research, copyrights, patents, processes, data, ideas, concepts, know-how, techniques, improvements and/or discoveries. IOLR Intellectual Property shall mean Intellectual Property conceived of first reduced to practice by IOLR or jointly by IOLR and participants of UDSAFS while assigned to IOLR in the course of a co-operative activity. UDSAFS Intellectual Property shall mean Intellectual Property conceived or first reduced to practice by UDSAFS or jointly by UDSAFS and participants of IOLR while assigned to UDSAFS in the course of a co-operative activity.
IOLR will have all rights and title to IOLR Intellectual Property. UDSAFS will have all rights and title to UDSAFS Intellectual Property.
Termination or expiration of this CA shall not affect rights or obligations under this Annex.
This Annex is applicable to all co-operative activities under this CA unless it is specifically agreed in writing that for a certain co-operative activity any or all of its provisions do not apply.
