MEMORANDUM OF AGREEMENT
between

The UNIVERSITÀ' POLITECNICA DELLE MARCHE (UNIVPM) and thè COLLEGE OF ENGINEERING of thè UNIVERSITY OF HAWAII AT MANOA (CoE-UHM), deeming thè development of academic, scientific, and cultura! cooperation to be mutually advantageous to both institutions and in order to strengthen such cooperation, agree on thè following issues:
Article 1 Co-operation Areas
The cooperation shall be carried out in agreed areas of common interest of both institutions. Possible programs of future cooperation may include, but not limited to, thè following:
1) Exchange of instructional/research staff (instructional, research and technical personnel, PhD students, for workshops, seminars, conferences and common research);
2) Research activities;
3) Joint courses and/or programs; and
4) Exchange of publications and academic materiate.
The terms and conditions of these areas of cooperation shall be mutually discussed and agreed to in writing prior to thè initiation of any activity.
Article 2 Teaching and Researching Staff Exchange
Both parties shall support and encourage teaching and research (including PhD students) staffs exchange. Both parties shall also ensure that practical arrangements around that exchange will function smoothly, i.e. concerning housing and similar necessities. Instructional/research staff involved in thè exchange shall also participate in seminars and other collegial gatherings during thè exchange period.
The instructional/research staff, shall during thè exchange, keep his/her salary from his/her respective home university.
The instructional/research staff exchange details shall be addressed in a separate agreement, where thè parties shall agree on thè financial requirements of thè exchange.
Article 3 Research Activity
Both Institutions shall foster thè development of joint research programs.
Each collaborative research program shall be addressed in separate agreements, where thè immediate parties agree on thè financial requirements of thè activity.
Article 4 Intellectual Property Rights
In thè case of advanced technologies, intellectual property rights shall be respected and protected by both university participants and their governments according to their internai policies governing intellectual property rights.
Article 5 Indemnifications and Medicai Insurance
UNIVPM and CoE-UHM shall indemnify and hold thè other harmless from any and ali claims, causes of actions, costs, and/or expenses arising out of thè acts or omissions of UNIVPM and CoE-UHM and their respective agents and employees.
Both parties shall be responsible for their respective instructional/research staff and students having thè proper medicai insurance which has been issued by their respective country and hold coverage in thè visiting country.
Article 6 Termination and Amendment
This agreement may be terminated by either party giving upon agreement from thè equivalent of one-semester notice in writing to thè other party or by agreement of both parties.
In thè event that thè agreement is terminated, thè participating universities agree that thè termination shall not adversely affect any student whose exchange has been pre-approved under this program. Staff and students already in thè program shall be allowed to finish out thè agreement if thè termination occurs during thè exchange.
This agreement may be amended by thè exchange of written communication between thè two institutions. These amendments once approved by both institutions and communicated to other relevant authorities for their consideration and approvai shall become part of thè agreement.
